1. Acceptance of Terms

The Organization's use of Leader Council's services constitutes acceptance of this Agreement. This Agreement is legally binding as of the date of enrollment and remains in effect until terminated in accordance with its terms.

2. Purpose of the Agreement

Leader Council provides a referral marketing platform to increase engagement and enrollment for event-based organizations. This Agreement defines the roles, responsibilities, and obligations of both parties to ensure mutual understanding and compliance.

3. Services Provided by Leader Council

Leader Council will provide:

• A peer-to-peer referral marketing platform designed to increase event participation and organizational engagement.
• Nomination and management tools for referred participants ("Leaders").
• Automated email templates, tracking, and analytics dashboards to support campaign effectiveness.
• Access to technical support for platform-related queries and troubleshooting.

4. Responsibilities of the Organization

The Organization agrees to:

• Accurately upload participant data, ensuring all email addresses and personal information have been obtained with proper consent.
• Fully manage the procurement, delivery, and compliance of giveaways, prizes, and incentives offered to participants.
• Ensure that all activities involving Leaders and Prospects comply with applicable laws, including privacy and data protection regulations.
• Promptly address any disputes, complaints, or issues arising from participant engagement with the Leader Council platform.

5. Eligibility and Liability for Invited Participants

• The Organization is solely responsible for determining the eligibility, behavior, and compliance of its Leaders and Prospects.
• Leader Council disclaims all liability for claims, disputes, or misconduct involving Leaders or Prospects engaged by the Organization.
• The Organization agrees to indemnify Leader Council against any losses, damages, or liabilities resulting from the actions of Leaders or Prospects.

6. Giveaway and Incentive Compliance

• The Organization is fully responsible for the selection, procurement, and delivery of all giveaways and incentives.
• The Organization ensures that all giveaways comply with applicable local, state, and federal laws, including Federal Trade Commission (FTC) guidelines.
• Leader Council is not liable for disputes, claims, or penalties resulting from noncompliance with giveaway regulations.

7. Ownership of Data

• Leader Council retains ownership of any proprietary data, analytics, or intellectual property generated by the platform.
• The Organization retains ownership of its uploaded participant data but grants Leader Council a limited license to use the data for operational purposes, including auditing and analytics.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary or sensitive information shared during the term of this Agreement. Any data shared by the Organization for auditing purposes will remain confidential and will only be used for verification under the terms of this Agreement.

10. Subscription Fees and Payment Terms

• The subscription fee is $199 per month unless otherwise agreed upon in writing.
• Subscriptions renew automatically unless canceled in accordance with the cancellation terms below.
• Payments must be made through the designated payment platform, and late payments may result in account suspension.

11. Cancellation Policy

• Organizations may cancel their subscription at any time through the Leader Council dashboard or by written notice.
• Upon cancellation, all access to the Leader Council platform and associated tools will be revoked immediately.
• No prorated refunds will be issued for partial months of service.

12. Audit and Verification Rights

Leader Council reserves the right to:

• Audit any campaign data shared by the Organization to verify refund eligibility.
• Decline refund requests if data is incomplete, inaccurate, or tampered with.
• Use anonymized data for benchmarking or performance analyses, provided it does not identify the Organization.

13. Platform Usage Restrictions

The Organization may not use the platform for:

• Unlawful or fraudulent purposes.
• Uploading false, misleading, or unauthorized data.
• Any activity that violates the intellectual property rights of Leader Council or third parties.

Violations of these restrictions may result in immediate termination of the account without a refund.

14. Limitation of Liability

• Leader Council's total liability is limited to the subscription fees paid by the Organization in the preceding 12 months.
• Leader Council is not liable for indirect, incidental, or consequential damages resulting from the use or inability to use the platform.

15. Indemnification

The Organization agrees to indemnify and hold harmless Leader Council, its affiliates, and employees from any claims, damages, or losses arising from:

• Actions of Leaders or Prospects.
• Misuse of the platform or violation of applicable laws by the Organization.
• Noncompliance with giveaway, marketing, or data-sharing regulations.

16. Force Majeure

Leader Council is not liable for delays or failures in performance caused by events beyond its reasonable control, including natural disasters, cyberattacks, labor disputes, or governmental actions.

17. Intellectual Property

• All content, branding, and tools provided by Leader Council remain its intellectual property.
• The Organization may not copy, distribute, or create derivative works without express written consent.

18. Amendments to the Agreement

Leader Council reserves the right to amend this Agreement with 30 days' written notice. Continued use of the platform constitutes acceptance of the amended terms.

19. Termination of Agreement

• Either party may terminate this Agreement with written notice.
• Upon termination, the Organization must cease all use of Leader Council materials and tools.

20. Governing Law and Dispute Resolution

• This Agreement is governed by the laws of the state of Illinois, without regard to conflict of law principles.
• Disputes will be resolved through binding arbitration in Illinois, unless otherwise mutually agreed upon.

21. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, written or oral.
